Voluntary Public Offer to Purchase UNIPETROL, a.s. Shares

The Board of Directors of UNIPETROL, a.s. informs that on 12 December 2017, it was notified by its majority shareholder, PKN ORLEN S.A., of an intent to announce a voluntary public offer to purchase shares of UNIPETROL, a.s. Pursuant to applicable laws, the Board of Directors also received detailed terms of the public offer.

According to submitted bid document the offer is made for all UNIPETROL, a.s. shares except the shares already owned by PKN ORLEN S.A. Bid price is CZK 380 per share and acceptance period is from 28 December 2017 to 30 January 2018. Transaction settlement is planned for 23 February 2018.

The offer is announced under the condition, which is PKN ORLEN S.A. reaching the threshold of at least 90% of the shares in UNIPETROL, a.s., however PKN ORLEN S.A. reserves its right to waive fulfilment of this condition.

Currently, PKN ORLEN S.A. holds 114,226,499 of UNIPETROL, a.s. shares representing approximately 62.99 % share in the registered capital and voting rights of UNIPETROL, a.s.

The Board of Directors will prepare its opinion regarding the offer within 5 business days of receipt of the bid document. Pursuant to applicable laws and UNIPETROL, a.s. Articles of Association, PKN ORLEN S.A. will publish the bid document at UNIPETROL, a.s. website, at www.patria.cz website and Commercial Bulleting (Obchodní věstník).
